TERMS AND CONDITIONS
1. 下列的銷售條款及細則(本「條款及細則」)適用於由OmniWe Limited (「OmniWe」) 銷售予訂購確認文件內列明欲購買產品之一方(「買方」) 之有關文件內列明之產品及服務 (「服務」)。服務一詞應(如適用)包括與服務有關之一切文件。買方同意根據本條款及細則購買服務。
The following sales terms and conditions (hereinafter referred to as "Terms and Conditions") apply to products and services (hereinafter referred to as "Services") sold by OmniWe Limited ("OmniWe") to the party specified in the order confirmation document ("Buyer"). The term "Services" shall include all related documents as applicable. The Buyer agrees to purchase the Services in accordance with these Terms and Conditions.
2. 本條款及細則在任何時間均為本銷售之條款及條件,並取代任何由買方提出的條款與條件,除非OmniWe 與買方另訂銷售協議,否則本條款及細則均為適用。
These Terms and Conditions shall at all times constitute the terms and conditions of this sale and shall supersede any terms or conditions proposed by the Buyer. Unless a separate sales agreement is entered into between OmniWe and the Buyer, these Terms and Conditions shall apply.
3. 買方無論通過代理或直接訂購服務均必須預先支付全額款項,此全額款項在任何情況下不會退回,亦不可作購買或更換其他服務之用。
Buyer must make full payment in advance when ordering Services, whether through an agent or directly. Such full payment is non-refundable under any circumstances and cannot be used for the purchase or exchange of other services.
4. 如OmniWe已發出收據作為訂購確認文件,以確認及接受買方的訂購,該服務的訂購不能被買方終止。
Once OmniWe has issued a receipt as the order confirmation document, thereby confirming and accepting the Buyer's order, the subscription to the service shall be non-cancellable and non-terminable by the Buyer.
5. 買方須在發票上列明的期限內向OmniWe付清訂閱或訂購費用。若買方未能在期限到期日前付清該筆款項,OmniWe則可向買方收取每月2%利息;該利息將由上述期限到期日後的第一天起開始計算(包括該天),直到付款當天為止(包括該天)。倘買方未能付清產品費用(及任何利息),即構成重大違約。利息之訂定及累積計算並不影響OmniWe向買方追討欠款之其他權利。
The Buyer shall pay the subscription fees in full to OmniWe within the period specified in the invoice. If the Buyer fails to make payment by the due date, OmniWe may charge interest at a rate of 2% per month; such interest shall accrue from the day following the due date (inclusive) until the date of payment (inclusive). Failure to pay the product costs (and any interest) shall constitute a material breach. The stipulation and accumulation of interest shall not affect OmniWe's rights to pursue collection of the outstanding amounts.
6. OmniWe將根據本服務協議之服務開始日期前14日經由電子信息發出開戶通知。買家收到確認通知後,必須於服務開始日期前預約首次整合服務,如買家未能於服務開始日期前預約整合服務,已購買的服務將自動開始,收取的款項在任何情況下不會退回。
OmniWe shall issue the account opening confirmation notice by electronic means no later than fourteen (14) days prior to the Service Start Date specified in this Service Agreement. Upon receipt of such confirmation notice, the Buyer must schedule the initial Integration service appointment prior to the Service Start Date. In the event that the Buyer fails to schedule the initial Integration service prior to the Service Start Date, the purchased Services shall automatically commence on the Service Start Date, and all fees paid shall be non-refundable under any circumstances.
7. 自服務開始日計起,OmniWe會向買家提供系統使用及硬件維護保修服務。買家可享有365天基本硬件維護保修服務,OmniWe系統使用權則以服務協議中簽定的服務訂閱期為準,OmniWe保留提供服務的最終決定權。
Commencing from the service commencement date, OmniWe shall provide the Buyer with system usage and maintenance warranty services. The Buyer shall be entitled to basic hardware maintenance services for a period of three hundred sixty-five (365) days. The right to use the OmniWe system shall be governed by the service subscription period stipulated in Service Agreement. OmniWe reserves the final authority to determine the provision of services.
8. OmniWe將不時推出不同訂閱計劃,並保留隨時調整各計劃收費之權利。買家於合約到期時如未有取消訂閱,合約按當時之最新收費自動續約。除指明合約收費外,買家使用OmniWe系統增值服務而產生之各項默認雜費(包括但不限於SMS費用、網域年費、電子郵件儲存空間費用等),會以產生時按次收費。買家同意並授權OmniWe按時從其指定付款方式扣除上述全部費用。
OmniWe may from time to time introduce different subscription plans and reserves the right to adjust the fees for any plan at any time. If the Buyer does not cancel the subscription before the expiry of the current contract term, the contract shall automatically renew for a further term at the then-current pricing applicable to the relevant plan. In addition to the stated subscription fees, any incidental or default charges arising from the Buyer’s use of value-added services on the OmniWe system (including but not limited to SMS charges, domain name renewal fees, email storage fees, etc.) will be billed on a pay-as-you-use basis at the rates in effect when the charges are incurred. The Buyer agrees to and authorises OmniWe to deduct all of the above fees from the Buyer’s designated payment method as and when they fall due.
9. 當OmniWe 收取雙方協議的費用後,OmniWe將根據條款及細則安排交付服務。該服務無論在交付予買方前或完成交付後,該等服務之擁有權均屬於OmniWe 所有。
Upon receipt of the fees agreed upon by both parties, OmniWe shall arrange for the delivery in accordance with the Terms and Conditions. The ownership of such services shall remain vested in OmniWe at all times, whether prior to or following delivery to the Buyer.
10. OmniWe應根據訂購確認文件及相關文件中列明的交付時間,在合理的時間範圍下將產品交付予買方。然而,交付時間並非合約的關鍵條款;若發生交付延誤,OmniWe 無需對因超出合理時間範圍導致的交付延誤負責或向買方承擔任何法律責任。
OmniWe shall endeavor to deliver the products to the Buyer within a reasonable timeframe as specified in the order confirmation and related documents. However, delivery times are not material terms of the contract. In the event of a delay in delivery, OmniWe shall not be liable to the Buyer for any legal responsibility, nor shall OmniWe be responsible for delays arising from causes beyond its reasonable timeframe.
11. OmniWe 於辦公時間為買方提供技術支援等服務
OmniWe provides technical support and related services to the Buyer during office hours.

12. OmniWe對其所有的知識產權,包括但不限於使用在相關產品上的商標、服務商標和標誌等,擁有絕對的所有權。未經OmniWe的事先書面批准,訂購表格、訂購確認文件和本銷售條款及細則的內容不得被解釋為通過暗示或其他方式授予買方任何許可或權利使用OmniWe的任何知識產權。
OmniWe retains absolute ownership of all intellectual property rights, including but not limited to trademarks, service marks, and logos used on relevant products. Without prior written consent from OmniWe, the content of order forms, order confirmation documents, and these sales Terms and Conditions shall not be construed as granting the Buyer any license or right to use any of OmniWe's intellectual property.
13. 服務之損毀及損失風險在服務交付時轉移予買方,買方須承受所有與產品之服務、交付、安裝或使用有關的直接或間接的損壞、損毀或損失(包括伸延的損壞、損毀或損失)。
The risk of damage and loss of the Services shall transfer to the Buyer upon delivery of the Services, and the Buyer shall bear all direct or indirect damages, destruction, or losses related to the services, delivery, installation, or use of the products (including consequential damages, destruction, or losses).
14. 買方明確同意使用OmniWe服務時,須自行承擔所有潛在風險。無論是OmniWe、其母公司、聯營公司,或是其各自的僱員、代理人、第三方內容供應商或授權者,OmniWe不作保證服務的百分百持續性及不間斷之可能性。此外,對於透過OmniWe服務獲得的結果,或服務中提供的資訊、服務或商品的準確性、可靠性或內容,OmniWe不作絕對無誤之擔保,惟將盡合理努力確保該結果,資訊、服務或商品的準確性。
The Buyer expressly acknowledges and agrees that the use of OmniWe’s services is at the Buyer’s sole risk. Neither OmniWe, its parent company, affiliates, nor their respective employees, agents, third-party content providers, or licensors warrant that the services will be provided with absolute continuity or without interruption. Furthermore, OmniWe does not guarantee the absolute accuracy, reliability, or content of the results obtained through its services, or the information, services, or goods provided therein, but shall make reasonable efforts to ensure the accuracy of such results, information, services, or goods.
15. OmniWe服務都是以"現況"作為可使用的基礎,沒有任何形式、明示或暗示的保證,包括但不限於所有權的保證,或者商業適售性或特定用途適用性的隱含保證,除非那些保證根據法律適用於本協議是默示或無法排除、限制或修改的。
OmniWe services are provided on an "as is" basis without any form of warranty, express or implied, including but not limited to warranties of title, merchantability, or fitness for a particular purpose, unless such warranties are implied or cannot be excluded, limited, or modified under applicable law.
免責條款 EXCLUSION CLAUSES
16. 免責聲明適用於因任何性能故障、錯誤、遺漏、中斷、刪除、缺陷、操作或傳輸延遲、電腦病毒、通信線路故障、盜竊、破壞或未經授權訪問、更改或使用記錄所導致的任何損失或損害,無論該損失或損害源於違反合同、侵權行為、疏忽或其他任何訴訟理由。買方明確承認,OmniWe對其他用戶或第三方的誹謗、冒犯性或非法行為不承擔任何責任,且前述情形所致的損害風險由買方自行承擔。
The disclaimer shall apply to any loss or damage resulting from performance failures, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, computer viruses, communication line failures, theft, destruction, or unauthorized access to, alteration of, or use of records, regardless of whether such loss or damage arises from breach of contract, tort, negligence, or any other cause of action. The Buyer expressly acknowledges that OmniWe shall not be liable for any defamatory, offensive, or unlawful conduct by other users or third parties, and the risk of harm arising from such conduct shall be solely borne by the Buyer.
17. 在任何情況下,OmniWe或任何參與創造、生產或分發OmniWe服務或其內容,包括子網站和任何軟件的人或實體,都不應為任何損害,包括但不限於因使用OmniWe服務或無法使用OmniWe服務引起的直接、間接、偶然、特殊、相應而生或懲罰性損害而承擔責任。買方特此確認,本條的條文應適用於OmniWe服務的所有內容。
Under no circumstances shall OmniWe or any person or entity involved in creating, producing, or distributing OmniWe services or their content, including sub-sites and any software, be liable for any damages, including but not limited to direct, indirect, incidental, special, consequential, or punitive damages arising from or related to the use of or inability to use OmniWe services. The Buyer acknowledges that the provisions of this clause shall apply to all content of OmniWe services.
18. 除了以上列明的條款以外,無論是 OmniWe、其母公司、聯營公司、資訊提供者或內容合作夥伴,不論原因或期限,對於在OmniWe服務內包含的資訊有任何錯誤、偏差、遺漏,或者其中有其他缺陷,或者資訊不合時宜或不確實,或者在傳輸至買方和/或其用戶中有任何延誤或干擾,或者對於任何由此而產生或因此而引致的索賠或損失,概不負責。前述當事方對於任何第三方索賠或任何性質的損失,包括但不限於利潤損失、懲罰性或相應而生的損害,概不負責。
Apart from the terms specified above, neither OmniWe, its parent company, affiliates, information providers, nor content partners shall be liable for any errors, inaccuracies, omissions, or defects in the information contained within OmniWe services, or for any delays or disruptions in the transmission to the Buyer and/or its users, or for any claims or losses arising therefrom. The aforementioned parties shall not be liable for any claims or losses of any nature, including but not limited to loss of profits, punitive or consequential damages.
19. 買方同意維護並賠償OmniWe、其分支機構及其各自的董事、幹事、僱員及代理人,並免除他們對所有索賠和開支的責任,而且不會追究他們任何索賠和開支,包括買方和/或其用戶因OmniWe服務所產生的律師費。
The Buyer agrees to indemnify and hold harmless OmniWe, its affiliates, and their respective directors, officers, employees, and agents from all claims and expenses, and shall not pursue any claims or expenses against them, including legal fees incurred by the Buyer and/or its users arising from OmniWe services.
20. 倘若任何一方未能或延遲履行任何本條款及細則下之責任,而該不履行或延誤是由於任何超出該方合理控制下之原因(包括但不限於天災、民事或軍事行為、勞資糾紛、OmniWe的供應商延誤或未能履行其責任、火災、暴動、民間騷動、破壞、戰爭、禁運、阻塞、抵制、水災、瘟疫、交通延誤或政府制裁),並有以合理方式通知另一方,該方責任之履行時間將被相應地延長。
In the event that either party fails or delays in performing any obligation under these Terms and Conditions due to circumstances beyond its reasonable control (including, but not limited to, acts of God, civil or military actions, labor disputes, delays or failures by OmniWe’s suppliers, fire, riots, civil disturbances, vandalism, war, embargo, blockade, boycott, flood, epidemic, transportation delays, or governmental sanctions), and provided that such party provides prompt and reasonable notice to the other party, the time for performance of such obligation shall be extended for a period commensurate with the duration of such circumstances.
21. 本銷售條款、條件細則、產品及服務定價、產品功能、服務與支援將不時調整,如有變更恕不另行通知。
These sales terms, conditions, product and service pricing, product features, and support services may be adjusted from time to time without prior notice.
22. 本條款及細則(及任何以下列明之特別條件)將構成OmniWe 與買家之間的完整協議。OmniWe 可單方面在沒有預先通知買家的情況下對本條款及細則作出任何修改。如有關修改會導致服務收費增加或對買家有重大及負面影響,OmniWe將使用合理方式在有關修改生效前通知買家。買家不得在沒有OmniWe預先書面同意的情況下對本條款及細則作出任何修改。
These Terms and Conditions (together with any Special Conditions set out herein) constitute the entire agreement between OmniWe and the Buyer in respect of the Services. OmniWe may at any time, in its sole discretion and without prior notice to the Buyer, amend these Terms and Conditions. If any such amendment would (i) increase the fees or charges for the Services or (ii) otherwise have a material adverse effect on the Buyer, OmniWe shall notify the Buyer by reasonable means prior to the amendment taking effect. The Buyer may not amend these Terms and Conditions without the prior written consent of OmniWe.
23. 本協議將以香港特別行政區法律詮釋。雙方同意就任何與本協議有關之法律訴訟不可撤銷地接受香港特別行政區法院之非專屬司法管轄權管轄,並放棄任何以不適合管轄地為理由而反對該等法律訴訟在香港特別行政區法院審理之權利。
This agreement shall be interpreted in accordance with the laws of the Hong Kong Special Administrative Region. Both parties agree to irrevocably submit to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region for any legal proceedings related to this agreement, and waive any right to contest the jurisdiction of the Hong Kong Special Administrative Region courts on the grounds of inconvenient forum.
24. 網路攻擊成本與責任 Liability for Cyberattacks
24.1. 買家承擔的責任: 若買家遭受網路攻擊,影響買家及服務供應商的系統、資料或運營,買家應承擔因此產生的一切成本、費用、損失及責任,包括但不限於:
• 資料恢復及修復費用;
• 調查及鑑識分析費用;
• 向受影響方提供的通知及信用監控服務費用;
• 因監管調查或第三方索賠而產生的法律費用、罰款、處罰或和解費用;
• 業務中斷損失,包括收入或利潤損失;
• 任何其他直接或間接損害。
Buyer's Responsibility: In the event that the Buyer suffers a cyber attack that impacts the systems, data, or operations of the Buyer or the service provider, the Buyer shall bear all costs, expenses, losses, and liabilities. arising therefrom, including but not limited to:
• Data recovery and restoration expenses;
• Investigation and forensic analysis fees;
• Notification and credit monitoring services for affected parties;
• Legal fees, fines, penalties, or settlements resulting from regulatory investigations or third-party claims;
• Business interruption losses, including lost revenue or profits; and
• Any other direct or indirect damages.
24.2. 網路攻擊的定義: 在本條款中,「網路攻擊」指針對買家的網絡、應用程式或資料的任何未經授權的訪問、入侵、拒絕服務攻擊、勒索軟體事件、資料洩露或類似的惡意行為,無論該攻擊源自外部威脅、內部漏洞或第三方依賴。
Definition of Cyberattack: For the purposes of this Clause, "Cyberattack" means any unauthorized access, intrusion, denial-of-service attack, ransomware incident, data breach, or similar malicious activity targeting the. Buyer's networks, applications, or data, regardless of whether such attack originates from external threats, internal vulnerabilities, or third-party dependencies.
24.3. 服務供應商的有限責任: 除非證明網路攻擊的成本或損害直接由服務供應商在履行本協議義務時的重大疏忽或故意不當行為造成,否則服務供應商對任何與網路 攻擊相關的成本或損害不承擔責任。
Provider's Limited Role: The service provider shall not be liable for any costs or damages related to a Cyberattack unless proven to result directly from the service provider's gross negligence or willful misconduct in performing its obligations under this Agreement.
24.4. 減輕風險的義務: 買家同意實施合理的安全措施,包括服務供應商推薦的措施,以減輕網路攻擊的風險。若買家未能履行此義務,服務供應商可能免除相關責任。
Mitigation Obligations: The Buyer agrees to implement reasonable security measures, including those recommended by the service provider, to mitigate the risk of Cyberattacks. Failure to do so may absolve the service provider of any related liability.
24.5. 責任保險: 買家應維持足夠的網路責任保險,以覆蓋網路攻擊可能產生的成本,並應在要求時提供該保險的證明。
Insurance Requirement: The Buyer shall maintain adequate cyber liability insurance to cover potential costs from Cyberattacks and shall provide proof of such insurance upon request.
